Terms of Use of the Web Service www.cadfem.net

The following Terms of Use apply to the use of the web service www.cadfem.net (hereinafter referred to as the “Web Service”).
By continuing to use this Web Service, you declare your acceptance of the following terms.

I. Scope, structure and further information

Sections II. to XVI. of these Terms of Use apply to the use of the freely accessible Web Service www.cadfem.net.

Section XVII. applies in addition to Sections II. to XVI. to the use of the locked part of the Web Service, which is only accessible following registration.

Section XVIII. applies in addition to Sections II. to XVI. to the use of the free offers contained in the freely accessible part of the Web Service.

The providers process personal and other data in compliance with the applicable statutory provisions. More detailed information can be found in the privacy policy and the information about cookies.


II. Provider/Contracting Partner

The Web Service is provided by CADFEM GmbH, Marktplatz 2, 85567 Grafing bei München, Germany, T +49 (0)8092-7005-0, F +49 (0)8092-7005-77, info@cadfem.de. The latter is solely responsible for the content of the subpages www.cadfem.net/int and www.cadfem.net/de.

CADFEM GmbH makes the following parts of the Web Service available to other legally independent companies of the CADFEM group of companies for their own use:

III. Users

  1. Entrepreneurs and consumers

    The Web Service is aimed predominantly at commercial users and, with regard to the offers of services in return for payment included in it, exclusively at such commercial users (traders, freelancers and public institutions). However, the Web Service also includes free offers, which are also aimed at consumers. These are offers in the field of training and further education, which are also aimed at students and employees and may be taken up by them.

    The initiation and conclusion of contracts for offers of the Web Service in return for payment requires prior registration of the user for the locked part of the Web Service. This registration is only possible for entrepreneurs.
  1. Markets

    All parts of the Web Service are directed exclusively at users based in certain countries/markets:

    • The subpage www.cadfem.net/de is intended exclusively for users who are based in Germany.
    • The subpage www.cadfem.net/at is intended exclusively for users who are based in Austria.
    • The subpage www.cadfem.net/ch is intended exclusively for users who are based in Switzerland.
    • The subpage www.cadfem.net/fr is intended exclusively for users who are based in France.
    • The subpage www.cadfem.net/gb is intended exclusively for users who are based in the United Kingdom of Great Britain and Northern Ireland.
    • The subpage www.cadfem.net/ie is intended exclusively for users who are based in Ireland.
    • The subpage www.cadfem.net/in is intended exclusively for users who are based in India.
    • The subpage www.cadfem.net/sg is intended exclusively for users who are based in Singapore.
    • The subpage www.cadfem.net/int is intended exclusively for users who are not based in Germany, Austria, Switzerland or France.
    Users of the Web Service are given the option to be directed to the subpage of the market corresponding to the location identifier of the IP address they are using. However, users can also use the country selection of the Web Service to access the parts of the Web Service intended for other markets that can be viewed without registration. Thus, even if the Web Service is used abroad, the subpage intended for the market of the respective user can be selected by users themselves.
  1. Export control regulations

    The goods and services offered via the Web Service are partly subject to national and international export control regulations. In addition to the law applicable to the respective markets, the providers shall also observe the law of the United States of America, as they also sell products from manufacturers in that country.

    The providers cannot prevent persons with whom no contract can be concluded under these provisions from using the part of the Web Service that can be viewed without registration. In the course of registration for the locked part of the Web Service, a check is carried out to determine whether a contractual relationship with the user may violate export control regulations. If this is the case, the user shall not have access to the locked part of the Web Service. This and other measures taken in CADFEM's Internal Compliance Program ensure that no contracts are initiated or concluded via the Web Service that violate export control regulations.


IV. Non-binding offers

Goods and services are offered within the framework of the Web Service. All these offers are non-binding. The providers (see II. above) are therefore not bound by the offers. However, they respond immediately to requests and offers from users. Offers for which payment is due are aimed exclusively at entrepreneurs. Their use requires registration for the locked part of the Web Service, which is only available to entrepreneurs.


V. Pricing

This Web Service includes details of prices. These figures are net prices and therefore do not comply with the requirements applicable in Germany, Austria, Switzerland, France, the United Kingdom of Great Britain and Northern Ireland and Ireland for offers aimed at consumers or users. In this connection, the term “entrepreneur”, to whom the paid offers contained in this Web Service are exclusively addressed, is defined as follows on a country-specific basis:

  • The offers in return for payment on www.cadfem.net/de and cadfem.net/int are exclusively aimed at persons for whom it is possible to verify that they are acting in the exercise of their commercial or self-employed professional activity within the meaning of the Price Indication Regulation (DE) or who use the goods or services offered in their self-employed professional or commercial activities or in an official capacity.
  • The offers in return for payment on www.cadfem.net/at are aimed exclusively at persons who conduct a business that is part of the operation of their company within the meaning of the Price Labeling Act (AT).
  • The offers in return for payment on www.cadfem.net/ch are aimed exclusively at persons who pursue a purpose that is connected with their commercial or professional activity within the meaning of the Price Indication Ordinance (CH).
  • The offers in return for payment on www.cadfem.net/fr are aimed exclusively at natural or legal persons who, within the meaning of Directive 98/6/EC, conclude contracts concerning products and services for purposes connected with their commercial or professional activity.
  • The offers in return for payment on www.cadfem.net/gb are aimed exclusively at natural or legal persons who are "traders" within the meaning of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK), i.e. a person who is acting for purposes relating to that person's trade, business, craft or profession, whether acting personally or through another person acting in the trader's name or on the trader's behalf.
  • The offers in return for payment on www.cadfem.net/in are aimed exclusively at natural or legal persons who, within the meaning of Consumer Protection Act, 2019, conclude contracts concerning products and services for purposes connected with their commercial or professional activity.

VI. Contact form and communication

The Web Service provides an opportunity to contact the providers by means of a contact form. In addition, email addresses of the providers are given, by means of which they can be contacted. If users use these offers to contact the providers, they communicate with the providers electronically. If users start an electronic communication, they agree to the providers communicating with them electronically, i.e. contacting them in this way.

IX. Information about dispute resolution procedures before a consumer dispute resolution body

With the exception of CADFEM France SAS, the providers are neither obliged nor willing to participate in dispute resolution proceedings before a consumer dispute resolution body.

X. No guarantee of availability

The providers shall endeavor to give users uninterrupted access to the Web Service. Due to the nature of the Internet, however, they cannot provide any guarantee of this.


XI. No guarantee for internal and external content

Despite the greatest possible care, no guarantee can be provided regarding the correctness and accuracy of the information offered within the framework of the Web Service. The providers are therefore not responsible for decisions that users make solely on the basis of the content of this Web Service.

As far as the providers use links to web services of other providers or third parties within the framework of the Web Service, they have no influence on the linked content and do not adopt it as their own. The providers do not accept any responsibility for illegal, incorrect or incomplete linked content.


XII. Liability and limitation of liability

Only the respective provider is responsible (see II above).

The provider is liable for damages the cause of which is based on an intentional or grossly negligent breach of obligation by the respective provider or one of its legal representatives or vicarious agents.

The provider is also liable for damage resulting from slightly negligent breach of material obligations. Material obligations are obligations the breach of which endangers achievement of the purpose of the contract or fulfilment of which makes the proper execution of the contract possible in the first place and on fulfilment of which users regularly rely. In these cases, however, the provider is only liable for the foreseeable damage typical for the contract.

The provider is not liable for damage resulting from a slightly negligent breach of obligations other than those mentioned in the preceding sentences.

The above limitations of liability shall not apply in the event of loss of life, physical injury or damage to health, to a defect following provision of a guarantee for the quality of a product or to defects that have been fraudulently concealed. Liability under the applicable product liability laws (e.g. in Switzerland the Product Liability Act) shall also remain unaffected.

The above limitations and exclusions of liability also apply to the personal liability of employees, representatives and vicarious agents of the provider.


XIII. Applicable law

The law governing the registered office of the respective supplier (see II. above) shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the provisions on conflict of private international law.


XIV. Place of jurisdiction

Insofar as a jurisdiction agreement is legally permissible, the place of jurisdiction is the registered office of the respective provider (see II. above).


XV. Reservation of the right to make changes

The right to change these terms of use is reserved.


XVI. Severability clause

Should any provision of these terms of use be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes as close as possible to the invalid or unenforceable provision.


XVII.Additional terms of use for the account („MyAccount“)

The following terms apply in addition to the use of the locked part of the web service. Initiation and conclusion of contracts for offers in return for payment is possible only in this part of the Web Service. Access to this area requires prior registration, which is only possible for entrepreneurs.

  1. Prerequisite for registration for „MyAccount“

    In the course of registration, an account (hereinafter referred to as “MyAccount”) is created for the respective user and a password is assigned to it. Registration is only complete when the password is sent to the user. This presupposes that the following conditions are met:

    - The user agrees to the terms of use and confirms that he has taken note of the privacy policy.

    - The user confirms his registration request by replying to a corresponding request of the provider to the email address provided by him in the course of registration (double opt-in).

    - The respective provider’s verification of the user’s registered office and of his entrepreneurial status is positive (see II above).

    - The respective provider's assessment of the compatibility of the business contact with export control regulations is positive (see II above).
  1. Provider/contracting partner

    In the course of registration, users are assigned as contracting partners to the provider responsible for their registered office.

    Users logged in to MyAccount can only take advantage of the offers of the provider responsible for them and can therefore only initiate and conclude contracts with that provider.
  1. Obligations of the provider

    The provider shall provide the user with “MyAccount” and thus enable the user to take advantage of the offers made through the Web Service. The service of the provider includes administration of the user data and facilitation of initiation and conclusion of contracts required by the user regarding the offers of the provider.

    User data are administered by CADFEM GmbH, Marktplatz 2, 85567 Grafing bei München, Germany. This company manages the data of users based outside the United Kingdom of Great Britain and Northern Ireland, Ireland, Switzerland, France and Austria under its own responsibility.   2. Order process and error correction

    The procedure for placing an order is as follows: Registration of the user for MyAccount or login of the user to the existing MyAccount, access of the “Shop” page, selection of products and services offered by placing them in the shopping basket, proceeding to checkout via the corresponding link in the shopping basket, checking and, if necessary, correcting the overview of products and services ordered, confirmation that the user has read the General Terms and Conditions, submission of the order. The user thereby submits a legally binding offer. The receipt of the order is immediately confirmed by the respective provider (see II. above) by email. This order confirmation is not an acceptance of the offer, but only a confirmation of receipt of the order. A contract is only concluded when the user's offer is accepted by a further email from the provider. This email or an email rejecting the user's offer will be sent to the user by the provider immediately on verification of the offer.

    The Web Service enables the user to recognize and correct input errors before placing an order. Corrections may be made at any time before the order is completed.

    To cancel the order, it is sufficient to close the browser window or open another page of the Web Service.

    Despite the greatest possible care, incorrect prices may be given for products and services. Prices may also have changed and not yet been updated. Before a contract is concluded by the provider, the price is checked again by the provider. If a product has been advertised with an incorrect price, the user will be contacted and it will be clarified whether the user still wishes to order the product or whether the order should be cancelled.

    Completed orders can be viewed by the user in MyAccount.

    The language available for conclusion of the contract is German.
  1. Obligations of the user

    In the course of the registration process, the user is obliged to provide only his own, correct data.

    If the user’s data change after registration (including the loss of entrepreneurial status), the user is obliged to inform the provider immediately.

    MyAccount may only be used by the registered user. The user is obliged to take reasonable precautions against the use of MyAccount by third parties. In particular, the access data must be treated in confidence.
  1. Costs

    Use of MyAccount is free of charge.

    MyAccount enables you to initiate and conclude contracts for paid services. Any costs arising from this shall be communicated in accordance with the legal requirements before the user can commit himself contractually in this respect.
  1. Applicable law and other contractual conditions

    Initiation, conclusion and fulfilment of the contracts concluded with the providers are governed by the law of the respective provider’s registered office (see II. above).

    In the course of conclusion of contracts initiated via the Web Service, general terms and conditions of the provider may be included in the contracts concluded. The user shall be informed of this separately.

    Insofar as contracts between the user and third parties are directly concluded via this Web Service (e.g. software licensing agreements with software manufacturers), only the terms and conditions agreed between the user and the third party shall apply. Such contracts are only initiated via the Web Service, but are ultimately concluded directly between the user and the third party and therefore not via the Web Service.
  1. Termination - Amendment

    Providers and users may terminate the use of MyAccount at any time without notice.

    The user also has the right to request the deletion of MyAccount at any time.

    The provider reserves the right to amend the terms of use. If the user does not object to this amendment within four weeks of receipt of notification of the amendment, the amendment shall be deemed to have been agreed. This does not apply to fundamental amendments, in particular amendments that result in costs for the user. If the customer objects to an amendment, the provider is entitled to terminate the user's use of MyAccount.


XVIII. Additional conditions for the use of free offers

The following conditions apply in addition to Sections II. to XVII. for the use of free offers of the Web Service, in particular further training offers.

  1. Registration

    The free offers are also available to consumers and do not require registration for "MyAccount". All that is required is a registration for the respective offer. With regard to these offers, the providers shall also check that there are no concerns with regard to export control regulations associated with the persons receiving them. Users are therefore obliged to provide truthful information about their identity within the scope of registration.

    In the course of registration for the respective event, users are assigned to the provider responsible for their place of business as contracting partners.

  1. Registration procedure and error correction

    The registration procedure is as follows: Click on the Register link shown for the free service offered. Complete the registration form and submit it. Receipt of the registration is immediately confirmed by the provider by email. This confirmation of receipt of registration is not an acceptance of the offer, but only a confirmation of receipt of the registration. An agreement on provision of the free service is concluded only when the provider confirms this in another email. This will be sent immediately after the registration has been verified.

    The web service enables the user to recognize and correct input errors before submitting the registration.

    To cancel the registration, it is sufficient to close the browser window or open another page of the Web Service.

    The language available for registration is German.
  1. Obligations of the user

    In the course of registration, the user is obliged to provide only his own accurate data.
  1. Costs

    Use of the free offers themselves is free of charge. However, their use may require technical equipment for which the user incurs costs (IT, Internet connection, etc.)
  1. Applicable law and other contractual conditions

    Initiation, conclusion and fulfilment of the contracts concluded with the providers are governed by the law of the provider’s registered office.

    In the course of conclusion of contracts initiated via the Web Service, general terms and conditions of the provider may be included in the contracts concluded. The user shall be informed of this separately.
